PRINCIPLES AND PRACTICES

Wiley manages and operates worldwide business activities in conformity with applicable laws and high ethical standards. At all times Wiley is determined to comply fully with the law, and to maintain the Company's reputation for integrity and fairness in all its business dealings with vendors and others.

Much of this is covered in Wiley's Business Conduct and Ethics Policy which also addresses expectations in the areas of

  • Integrity and Ethical Standards
  • Conduct
  • Confidentiality
  • Gifts and Gratuities
  • Business Entertainment

Vendors are also expected to adhere to the following sourcing policies,

Audit:

Before, during and for a period of time no longer than three (3) years after the date of a contract termination, Wiley reserves the right upon Wiley’s written request to conduct an audit review of the Vendor to monitor Vendor’s compliance with any agreements, regulatory or legal requirements.

Corporate Social Responsibility:

Corporate Social Responsibility (CSR) is a practice whereby organisations meet their needs for goods, services, construction works and utilities in a way that achieves value for money on a whole life basis in terms of generating benefits not only to the organisation, but also to society and the economy, whilst remaining within the carrying capacity of the environment.

Vendors are expected to comply with this definition of CSR and be able to actively demonstrate their commitment to conducting their business in this manner.  Vendors may be required to provide Wiley with independently reviewed evidence of their CSR activities and to meet the cost of undertaking third party audits to measure and monitor their CSR activities.

LBGT:

Vendors must be dedicated to proving a working environment that is safe and supportive for all colleagues and the way that they wish to express their gender identity.

Modern Slavery:

Wiley has a zero tolerance approach to Modern Slavery of any kind within our operations and supply chain. Wiley requires that its vendors participate in ethical trading audit assessments and vendors must provide employees with good working conditions, fair treatment, and reasonable rates of pay, respect workers’ human rights and comply fully with all applicable laws.

Vendors must ensure that:

·         All work is carried out on voluntary basis, and not done under any threat of penalties or sanctions.

·         Workers must not pay any deposits for work, and employers must not keep original copies of identity documents.

·         All workers must be free to leave work at any time, with all salary owed to be paid.

Patents and Copyright:

Wiley does not knowingly infringe upon the patent rights and copyright of others. Conversely, Wiley requires patent indemnification on all procured materials.

Wiley will discuss ideas or product or process development with outside individuals and, where necessary, will contract for the development of special products and processes. In all such cases, appropriate contractual arrangements must be made in advance.

Reciprocity:

Wiley’s goal is to buy goods and services which offer the best value when considering prices, quality, delivery, and technology.

Wiley has a practice of not engaging in reciprocal buying arrangements with its vendors, because those arrangements can interfere with Wiley’s goal of realising the best value for the company.

Vendor diversity program:

Wiley maintains a commitment to ensure a diverse vendor base. It is our practice to provide opportunities in all areas of Wiley's procurement and contracting activities to people of different ethnic origins, women, people with disabilities, veterans, LBGT etc.
