FOREIGN CORRUPT PRACTICES ACT COMPLIANCE GUIDEBOOK
One of the fastest growing areas of law and corporate compliance is the Foreign Corrupt Practices Act (FCPA). This is due to the globalization of business and today’s greater focus on anti-corruption compliance. The FCPA makes it a crime for U.S.-listed companies, their employees, or their agents to obtain business by bribery of a government official of another country. The global nature of companies with subsidiaries, affiliates, and vendors all over the world provide great opportunity but also great risk. U.S. law reaches all around the world and covers the actions of U.S. corporations and their employees no matter where they are. Illegal actions relating to the FCPA can have major implications. FOREIGN CORRUPT PRACTICES ACT COMPLIANCE GUIDEBOOK: Protecting Your Organization from Bribery and Corruption (John Wiley & Sons; May 2010; $65.00) provides invaluable compliance guidance on the business risks associated with bribery, corruption, and the FCPA. Included is rich content and practical information for both U.S. and foreign companies. For anyone that needs to learn about the past, present, and future of the FCPA, the constant threat of bribery, and how to design and manage an anti-corruption compliance program, this book is a must-read.
There are harsh penalties for those who violate the anti-bribery provision of the Foreign Corrupt Practices Act. Third party liability is another major concern as companies are liable for the actions of the people they hire, be they direct employees or agents. The solution is a strong compliance program to ensure everyone knows what the rules are and to keep track of who's doing what. FOREIGN CORRUPT PRACTICES ACT COMPLIANCE GUIDEBOOK shows readers how the FCPA is critically important to any U.S. company that does business in a global environment, as well as foreign companies that supply or have agency agreements with U.S. companies. It provides an overview of the business risks and guidance on spotting potential FPCA red flags. This book provides business professionals with practical guidance on managing FCPA requirements as part of an overall compliance program. Coverage includes:
- Understanding the critical importance of the FCPA in today's global environment
- Guidance on the risks associated with bribery and corruption
- The role of the U.S. Department of Justice and the SEC in both enforcement and compliance enhancement including history, current issues, and trends
- How to recognize bribery red flags and worldwide hotspots of corruption
- Step-by-step implementation guidance on creating and maintaining an effective FCPA compliance program
- Practical tips and real-world FCPA cases including profiles of Siemens, Monsanto, and BAE Systems
- Interviews with thought leaders in FCPA and anti-corruption compliance
- Key Department of Justice Opinion Procedure Releases for further FCPA guidance
The United States has been joined by other countries in the fight against bribery and corruption. There have been more investigations and prosecutions of both businesses and their employees than at any time in the past 30 years. FOREIGN CORRUPT PRACTICES ACT COMPLIANCE GUIDEBOOK provides invaluable guidance to business managers and risk managers on the business risks associated with the Foreign Corrupt Practices Act and how they can be managed. Detailing the FCPA from its birth as a result of the Watergate scandal to its current worldwide impact, this book is the essential and complete resource on this increasingly important law and compliance issue.
